Administration Of The Foundation

  • The Foundation shall be administered by a Board of Governors hence after referred to as the Board consisting of the following members by virtue of their offices, namely:-

(i)

Minister of Education.

Patron.

(ii)

Secretary, Govt. of NWFP, Education Deptt

Chairman.

(iii)

Secretary, Govt; of NWFP, Finance Deptt:

Member.

(iv)

Secretary, Govt; of NWFP, Industries Deptt:

Member.

(v)

Director of Education (Colleges)NWFP.

Member.

(vi)

Director of Education (Secy: Schools) NWFP.

Member.

(vii)

Director of Primary Education, NWFP.

Member.

(viii)

Director of Education (Technical)NWFP.

Member.

(ix)

Director of Education (FATA) NWFP.

Member.

(x)

Director Bureau of Curri; Development and Education Extension Centre, NWFP.

Member.

(xi)

President, Sarhad Lecturer Association, NWFP.

Member.

•  The Board shall have the powers and discretion to utilize apply and invest the corpus of the foundation and its income in such manner as it may consider proper. Without prejudice to the generality of these powers, the Board may:-

(i) Purchase, sell, endorse, transfer, negotiate or otherwise in securities of the Govt; of Pakistan and any other securities of any description.

•  Raise loans for its various enterprises, undertaking, and may for this purpose pledge, hypothecate or otherwise charge the corpus and the properties of the Foundation.

•  Enter into contracts, engagements and execute necessary documents.

•  Open current, fixed overdraft, loan, each credit and other accounts, with any bank or banks as may be necessary and to pay into and to draw out money from such accounts.

•  Make draw, endorse, sign, accept, negotiate and give all cheques, bills of lending drafts orders bills of exchange, Govt. Securities premisery notes and other negotiable instruments.

•  The Board may appoint Sub-Committee and or Boards to transact business and may delegate any of its powers to any such Sub-Committee or any member/officer of such Sub-Committee/Board.

•  The Board may delegate any of the powers to any member and members or to any officers or employees in the employment of the Board or any of its undertakings and for its purpose may execute authorise execution of any powers of attorney or other instruments.

•  The Board shall have powers to create posts, appoint, remove or suspend such officers and agents managements secretaries clerks and servants for permanent, temporary – or special services to work for remuneration or gratuity as the Board may from time to time think fit and may determine their powers and duties in its discretion. The Board shall at all times conform to and abide by rules framed under section 13 of the Charitable endowments Act, 1890.

Power and Duties of the Chairman General Power and Duties

The Chairman Board of Governor shall be vested with following powers and duties:-

(i) He shall exercise the powers vested in him under the scheme of Administration i.e. to Act as Chairman of the Board of Governors.

•  He shall act as Chairman of the Executive Committee of the Education Foundation.

•  At all meetings presided-over by him of the Board of Governors or Executive Committee he shall exercise a casting vote in the event of tie amongst other members.

•  He shall ensure through the Managing Director that all decisions of the Board of Governors are implemented.

•  He shall keep apprised the members of the Board of Governors of the progress and important developments if any, of the Education Foundation and its industrial, Commercial and welfare schemes.

•  The Chairman may issue letter, order, directive or instructions on behalf of the Board of Governors or exercise any power on behalf of the Board, it shall be presumed that he had issued and exercised the same after full consultation with members of the Board of Governors and the same shall not be called in question.

Powers and Duties of Executive Committee of Education Foundation

Composition of the Executive Committee

The Executive Committee shall consist of the following officers:-

(i)

Secretary, Govt. of NWFP, Education Deptt:

Chairman.

(ii)

Director of Education (Secy; Schools) NWFP.

Member.

(iii)

Director of Primary Education, NWFP.

Member.

(iv)

Director of Education (Colleges) NWFP.

Member.

(v)

Director Bureau of Curriculum, Development & Education Extension Services, NWFP, Abbottabad.

Member.

(vi)

A representative from the Association in the Education Department (Each Association will Be represented for a year on rotation).

Member.

(vii)

Managing Director Education Employees Foundation, NWFP.

Member/Secretary.

Power and Duties of the Executive Committee

The Executive Committee will exercise all the powers of Board of Governors for effective control, management supervision and direction of all industrial, commercial and welfare activities of the Education Employees Foundation subject to the limitation given in the Book of Rules.

Budget Estimates and Performance Report

The Executive Committee shall scrutinise and approve the annual and revised budget estimates of the Education Foundation and performance report pertaining to the industrial, commercial or welfare projects or schemes before these are put up to the Board of Governors for final approval.

Audited Annual Accounts

The Executive Committee shall scrutinise and approve the audited annual accounts of the Education Foundation before these are put up before the Board of Governors for final approval.

•  The Executive Committee shall examine sponsor, initiate and recommend proposal for investments of the surplus funds for approval of the Board of Directors for developmental Projects given in the Book of rules.

Meeting of Excutive Committee

The Executive Committee shall hold meeting at least once a quarter. In addition informal meetings of the Committee will be held as and when required to acquaint the members regarding progress of various industrial, commercial and welfare activities.

Forming of Rules

•  The Executive Committee shall have the power to frame, repeal or amend rules. Such rules shall be put up to the Board of Governors for confirmation in the next meeting of the Board of Governors.

•  The Chairman will preside at all meetings of the Executive Committee and in the absence of Chairman the senior most Director of Education will preside.

•  Three members shall constitute a quorum for a meeting of the Executive Committee provided that the Managing Director shall be one of the three members forming the quorum.

•  The Chairman at the meeting will exercise the casting vote in case of a tie.

Special Powers

Managing Director

All the powers vested in the Executive Committee can be exercised in case of an emergency by the Managing Director or in case where the Executive Committee cannot meet due to lack of quorum. Provided that the decisions or actions taken by the Managing Director will be subject to ratification by the Executive Committee in its subsequent meeting.

OFFICIATING ARRANGEMENTS.

•  When ever the Managing Director is away abroad on duty or otherwise or is absent on leave due to sickness or some other reasons then the senior member will act as the Managing Director in his place in addition to his duties.

•  Whenever any member is away abroad on duty or otherwise or is absent on leave due to sickness or some other reason then Managing Director may determine which other member or officer shall act in place of that member and may vary such arrangement from time to time as he may deem fit.

4. ASSIGNMENT OF DUTIES TO DIRECTORS AND OFFICERS.

The Executive Committee may lay down specific responsibilities and duties of the members and Officers of the Central Organization from time to time.

5. POWER AND DUTIES OF THE MANAGING DIRECTOR.

The following powers are delegated to the Managing Director of Education Foundation by the Board of Governors to perform his day to day duties:-

•  The Managing Director shall be the Chief Executive in whom shall be vested the overall control direction and supervision of all the activities, industrial, commercial, welfare or otherwise of the Education Foundation. He shall also be responsible for co-ordination policies of the Executive Committee.

•  The Managing Director may deal on behalf of the Education Foundation directly with the Govt. of Pakistan or the Govt. of any Province for the purpose of making any representation and for taking all necessary action to obtain any concession, privilege, or right from the Govt. of any authority in respect of the Education Foundation.

•  The Managing Director shall exercise all the powers exercisable by the Executive Committee of the Education Foundation in urgency or when quorum is not available for the meeting provided that the decisions or action taken in pursuance of this clause by the Managing Director shall be placed before the next meeting of the Executive Committee for rectification.

•  The Managing Director will lay down performance targets for projects.

DISTRIBUTION OF BENEFITS

All the benefits drawn from the Foundation shall be distributed among various sections of the beneficiaries fairly and justify.

MONTHLY CONTRIBUTION

Thee members of the Foundation shall contribute to the Foundation every month according to the prescribed Financial Rules. The Committee may change the rate of the contribution.

HEAD OFFICE

Head office of the Foundation shall be at Peshawar , however, the Foundation may establish sub-offices at places where necessary.

FINANCES OF THE FOUNDATION

The Funds of the E.E.F., should be raised through Matching Grants by the Finance Department, Government of NWFP, and regular compulsory contribution by the employees of Education Department in NWFP at the following rates subject to increase and decrease as and when decided by the Board of Governors E.E.F., NWFP or Chairman, E.E.F., NWFP.

Accounting Procedure

Deductions at the above rates should be made compulsorily and regularly through source by the A.G, NWFP and District/Agency Accounts Officers concerned and credited to the Sub-Functional Head “3311010 staff welfare NWFP Education Employees Foundation Fund”. Such amounts should be communicated by the District/Agency Accounts Officers to the Accountant General, NWFP, regularly through their monthly accounts for consolidation under the aforesaid head of account. A copy of the same will also be sent to Managing Director Education Employees Foundation (EEF) for record in his office.

The Managing Director will carry out reconciliation of figures received from Accountant General office with the record maintained in his office on the ba;sis of figures obtained/supplied by the concerned offices of DAOs/Education Department. The Managing Director will draw the amount from Accountant General, NWFP on simple receipt after obtaining sanction from the Chairman of the Board for depositing into scheduled banks.

The retired employees of Education Department who opt for continuing their Memberships, shall send their contributions direct to the Accountant E.E.F., NWFP at the following rate:-

BPS 1-4 = Rs.1/- P.M.

BPS 5-16 = Rs.2/- P.M.

BPS 17 & above = Rs.5/- P.M.

They will be equally entitled for the benefits package as for serving employees.

AUDIT.

Audit of the Education Employees Foundation will be conducted annually by the Director Local Fund Audit, NWFP, Peshawar .

PROCEDURE FOR WITHDRAWAL OF eef FUNDS FROM SUB-FUNCTIONAL HEAD “3311010-STAFF WELFARE NWFP, EDUCATION EMPLOYEES FOUNDATION.

FUNDS

Any amount required to be drawn from the EEF, Fund accumulated under Sub-Functional Head “3311010-staff welfare EEF, Funds” above shall be with-drawn by submitting bill to the Accountant General, NWFP, signed by the Managing Directors EEF, NWFP, in his capacity as a Drawing and Disbursing Officer. The amount so drawn shall be kept in National Bank of Pakistan or any other scheduled Bank in PLS/current account or fixed deposit and shall be used/drawn through cheque duly signed by the Chairman EEF, NWFP, as and when required
